1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and bdeshConnect ("Company", "we", "us", or "our") concerning your access to and use of the bdeshConnect website and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Eligibility and Account Registration

To use our Services, you must:

  • Be at least 18 years of age or have parental/guardian consent
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept full responsibility for all activities under your account

You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

3. Description of Services

bdeshConnect operates as a digital marketplace facilitating the sale of international connectivity and travel products including:

  • International student products designed for the first 7 days after landing
  • eSIM plans for supported countries and networks
  • SIM plan options and activation instructions (where offered)
  • Mobile recharge and telecommunications top-ups (where available)
  • Gift cards, vouchers, and digital essentials made available by country
  • Related activation, setup, and support services

All products are sourced from authorized distributors. We act as a reseller and are not affiliated with or endorsed by the brands whose products we sell.

4. Pricing, Payment, and Taxes

4.1 Pricing: All prices are displayed in Bangladeshi Taka (BDT) and include all applicable taxes unless otherwise stated. Prices for international currency transactions via Stripe are converted at prevailing exchange rates.

4.2 Payment Methods: We accept payments through:

  • Stripe: cards and supported wallets

4.3 Payment Processing: Payment must be completed in full before digital products are delivered. All transactions are processed securely through PCI DSS compliant payment gateways. We do not store your payment card information.

4.4 Price Changes: We reserve the right to modify prices at any time without prior notice. Price changes do not affect orders already placed and confirmed.

4.5 Taxes: Prices include Value Added Tax (VAT) as required under Bangladesh VAT and Supplementary Duty Act 2012. For Australian customers, prices include Goods and Services Tax (GST) where applicable under Australian tax law.

5. Product Delivery and Fulfillment

5.1 Delivery Method: Digital products are delivered electronically via email to the address associated with your account. Codes are also accessible through your account dashboard.

5.2 Delivery Timeframe: Delivery typically occurs within 5-30 minutes of payment confirmation. During peak periods, delivery may take up to 2 hours.

5.3 Delivery Confirmation: You will receive an email confirmation containing your order details, invoice, and digital product code(s).

5.4 Non-Delivery: If you do not receive your product within the stated timeframe, contact our support team immediately with your order ID. We will investigate and resolve the issue within 24 hours.

6. Refunds and Cancellations

6.1 Refund Policy: Due to the nature of digital products, refunds are limited to the following circumstances:

  • Invalid or non-functional codes (must be reported within 48 hours with proof)
  • Duplicate purchases (must be reported within 24 hours)
  • Technical errors on our end resulting in non-delivery
  • Incorrect product delivered

6.2 No Refund Circumstances: Refunds will not be provided for:

  • Change of mind after code revelation
  • Codes that have been redeemed or partially used
  • Region incompatibility (if region was clearly stated)
  • Expired codes due to delayed redemption
  • Third-party platform issues or account suspensions

6.3 Refund Processing: Approved refunds are processed within 3-10 business days to the original payment method. Processing times may vary by payment provider.

6.4 Consumer Rights: Nothing in this policy affects your statutory rights under the Bangladesh Consumer Rights Protection Act 2009 or the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any laws
  • Engaging in fraudulent transactions or using stolen payment information
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Reselling products for commercial profit without written authorization
  • Creating multiple accounts to abuse promotions or circumvent restrictions
  • Reverse engineering, decompiling, or attempting to extract source code
  • Transmitting viruses, malware, or other harmful code
  • Harassing, threatening, or impersonating other users or staff
  • Scraping, data mining, or automated data collection without permission

Violation of these prohibitions may result in immediate account termination, forfeiture of pending orders, and potential legal action.

8. Intellectual Property Rights

All content on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of bdeshConnect or its content suppliers and is protected by Bangladesh and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks of third-party providers and products are the property of their respective owners. Use of these trademarks does not imply endorsement by or affiliation with these companies.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our express written permission.

9. Limitation of Liability and Disclaimers

9.1 Service Availability: The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, timely, secure, or error-free service.

9.2 Product Warranties: While we source products from authorized distributors, we do not warrant that products will be compatible with all devices, regions, or platforms. Product functionality is subject to third-party platform terms.

9.3 Limitation of Liability: To the maximum extent permitted by law, bdeshConnect and its directors, officers, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Third-party platform issues, outages, or policy changes
  • Unauthorized access to or alteration of your data
  • Actions or inactions of third-party payment processors

9.4 Maximum Liability: Our total liability for any claim arising from your use of the Services is limited to the amount you paid for the specific product giving rise to the claim, not to exceed BDT 10,000 or AUD 200.

10. Governing Law and Dispute Resolution

10.1 Governing Law: These Terms are governed by and construed in accordance with the laws of Bangladesh. For Australian customers, these Terms are also subject to the Australian Consumer Law where applicable.

10.2 Jurisdiction: You irrevocably submit to the exclusive jurisdiction of the courts of Dhaka, Bangladesh for the resolution of any disputes. Australian customers may also bring proceedings in their local jurisdiction.

10.3 Dispute Resolution: Before initiating formal legal proceedings, you agree to first attempt to resolve disputes through our customer support system. We will make reasonable efforts to resolve complaints within 30 days.

10.4 Arbitration: If informal resolution fails, disputes may be submitted to binding arbitration under the Bangladesh Arbitration Act 2001, with proceedings conducted in English in Dhaka.

11. Account Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Providing false information
  • Abusive behavior toward staff or other users
  • Excessive chargebacks or payment disputes

Upon termination, your right to use the Services immediately ceases. Pending orders may be cancelled, and access to your account and order history may be revoked.

12. General Provisions

12.1 Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and bdeshConnect.

12.2 Severability: If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

12.4 Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
